In many jurisdictions the dissolution of a corporation is held to operate as a breach of the executory contracts of the corporation,1 except in case of certain special forms of contracts2 or under special circumstances.3 The voluntary liquidation of a corporation is said to operate as a breach of its executory contracts.4
